These Terms of Service (“Terms”) govern the use of Toneco’s software-as-a-service products, including EntertAIner Light, EntertAIner Pro, and Toneco All-In (collectively, the “Service”).
By creating an account, starting a trial, or using the Service, the Customer agrees to these Terms.
1. Definitions
“Customer” means the business entity using the Service.
“Service” means Toneco’s in-store audio software and related services.
“Subscription” means a paid access plan to the Service.
“Trial” means a limited free evaluation period.
“Content” means audio, messages, music, or other material uploaded or generated within the Service.
2. Scope of Service
Toneco provides a cloud-based platform for managing in-store background music, audio messaging, and related services.
Depending on the selected product:
- EntertAIner Light offers automated background music
- EntertAIner Pro enables self-managed campaigns and announcements
- Toneco All-In is a fully managed service delivered by Toneco specialists
Specific features may vary by plan.
3. Account Registration
The Service is available only to business customers.
The Customer is responsible for:
- providing accurate account information
- safeguarding login credentials
- all activity occurring under the account
4. Trial Terms
Toneco may offer a 14-day free trial for selected products.
During the Trial:
- No credit card is required
- Access is limited to trial functionality
- Toneco may restrict or modify features
At the end of the Trial:
- The Service will be suspended unless a paid Subscription is activated
- No charges will be made automatically
- Data may be deleted after a reasonable period
5. Subscriptions & Billing
Subscriptions are billed monthly or annually, depending on the selected plan.
Unless otherwise stated:
- Fees are exclusive of VAT and applicable taxes
- Subscriptions renew automatically unless cancelled
- Prices may be updated with prior notice
Toneco All-In pricing is custom and contract-based.
6. Cancellation & Termination
The Customer may cancel a Subscription at any time through the account or in writing.
Upon cancellation:
- Access remains until the end of the billing period
- Fees already paid are non-refundable
Toneco may suspend or terminate access in case of:
- breach of these Terms
- unlawful or abusive use
- non-payment
7. Acceptable Use
The Customer agrees not to:
- upload unlawful, offensive, or infringing content
- misuse the Service for illegal purposes
- interfere with system integrity or security
The Customer is responsible for all uploaded or generated Content.
8. Music Licensing & Compliance
Toneco provides royalty-free or properly licensed music as part of the Service.
The Customer:
- does not need separate music licenses when using Toneco-provided content
- is responsible for licensing any third-party content uploaded independently
- When standard licensed music is included in the all-in service, the customer is responsible for public performance licence fees, while Toneco covers the provider licence fees to the relevant copyright organizations.
9. Service Availability
Toneco aims to provide reliable service availability but does not guarantee uninterrupted operation.
Maintenance, updates, or external factors may cause temporary disruptions.
Service level commitments may be defined separately in an SLA.
10. Data Protection & Privacy
Toneco processes personal data in accordance with applicable data protection laws, including GDPR.
Details are provided in the Privacy Policy, which forms part of these Terms.
11. Intellectual Property
Toneco retains all rights to:
- the Service
- software
- interfaces
- trademarks and branding
The Customer retains rights to its own uploaded Content.
12. Limitation of Liability
To the maximum extent permitted by law:
- Toneco is not liable for indirect or consequential damages
- Total liability is limited to fees paid by the Customer during the preceding 12 months
13. Governing Law
These Terms are governed by the laws of Finland, without regard to conflict-of-law principles.
Disputes shall be resolved in Finnish courts unless otherwise agreed.
14. Changes to Terms
Toneco may update these Terms from time to time.
Material changes will be communicated in advance.
Continued use of the Service constitutes acceptance of updated Terms.
